  2. Planning for the Meeting.
  3. Compilation of the Files.
  4. Sending files to the Directors.
  5. Arranging the meeting room.
  6. Collecting Directors’ Signatures and giving fees to the Directors.
  7. Taking notes of the Meeting.
  8. Drafting minutes of the meeting.
  9. Minutes related Compliance.

DAY-4: BSEC, DSE, CSE and CDBL Reporting

  1. Discussion about Bangladesh Securities and Exchange Commission (BSEC) and our activities with them.
  2. Discussion about Dhaka Stock Exchange Limited (DSE) and our activities with them.
  3. Discussion about Chittagong Stock Exchange Limited (CSE) and our activities with them.
  4. Discussion about Central Depository Bangladesh Limited (CDBL) and our activities with them.
  5. Discussion about Registrar of Joint Stock Companies and Firms (RJSC) and our activities with them.

DAY-5: Annual General Meeting and Annual Report

  1. What is Annual General Meeting (AGM)?
  2. What is Extra Ordinary General Meeting (EGM)?
  3. How to draft a notice of Annual General Meeting (AGM)?
  4. How to Circulate AGM’s Notice?
  5. Communication with BSEC, DSE and CSE.

  7. How to compile and design an Annual Report.
  8. Communicating with different parties while compiling Annual Report.

  2. Submission of the unaudited Financial Statement of Quarter 1 (Q1), Quarter 2 (Q2) and Quarter 3 (Q3) and Audited financial statement to BSEC, DSE and CSE.

Mr. Rahat Mahmud is a business consultant and professional trainer, having 13 (Thirteen) years of experience. Mr. Rahat is experienced in Capital Market Fund Management, Issue Management, Underwriting, Advisory, Board, Company Affairs and Secretariat department in the Financial Sector (NBFI and Merchant Bank) and Group of Companies.

Born in a reputed Muslim family in Shariatpur in 1986, Mr. Rahat has completed his Masters in Bank Management (MBM) from Bangladesh Institute of Bank Management (BIBM) in 2018. Before that, Mr. Rahat has completed his Master of Social Science (MSS) in 2008 and Bachelor of Social Science (BSS) in 2007 from the University of Dhaka (DU). At present, Mr. Rahat is studying in Institute of Chartered Secretaries of Bangladesh (ICSB) in Professional Level 1 (P1).

Mr. Rahat started his career in 2013 as a Senior Executive (Issue Management & Underwriting) of AFC Capital Limited. He was involved with the listing of Shasha Denims Limited, Khan Brothers PP Woven Bag Industries Limited, C & A Textile Limited, Olympic Accessories Limited, Tung Hai Knitting and Dyeing Limited, Simtex Industries Limited etc.
After AFC Capital Limited, Mr. Rahat joined with “Reliance Finance Limited (REFL)” (A company of S. Alam Group) in 2015 as the “Deputy Company Secretary” and worked 5 (Five) years. In 2019, Mr. Rahat joined with International Leasing and Financial Services Limited (ILFSL) (Trading Code: ILFSL) as the “Company Secretary” and worked for 2 (Two) years.
After with International Leasing and Financial Services Limited, Mr. Rahat joined with “Orion Group” as the Company Secretary of Orion Infusion Limited (Trading Code: ORIONINFU). Besides Orion Infusion Limited, he also managed 2 (Two) listed companies, namely, Orion Pharma Limited (Trading Code: ORIONPHARM) and Kohinoor Chemical Co. (Bangladesh) Limited (Trading Code: KOHINOOR).
Presently, he is working as the “Group Company Secretary” of “Navana Group”. He is managing 2 (Two) listed companies, namely, Aftab Automobiles Limited (Trading Code: AFTABAUTO) and Navana CNG Limited (Trading Code: NAVANACNG).
Mr. Rahat has attended different training programs and seminars at home and abroad. Among them, the foremost to be mentioned is the Risk Management in Banking & Finance and Bank Financial Management with City University, London.
